Professional security services agreement and terms of engagement

1. Agreement to Terms

By engaging Greyman Secure Solutions ("Greyman," "we," "us," or "our") for security consultation, system design, installation, or ongoing services, you ("Client," "you," or "your") agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Greyman Secure Solutions.

If you do not agree with any part of these terms, you must not proceed with our services. We reserve the right to modify these terms at any time, with notice provided to active clients.

Important: Greyman security systems are designed to deter and delay intrusions—not to guarantee prevention of all security breaches. No security system can provide absolute protection against all threats.

4. Quotes, Pricing & Payment Terms

4.1 Quotations

All quotes provided by Greyman are valid for 30 days from the date of issue unless otherwise specified. Quotes are based on site assessments and information provided by the client. Final pricing may be adjusted if site conditions differ from initial specifications.

Payments not received within 14 days of the due date may incur late fees of 2% per month. Greyman reserves the right to suspend services, including monitoring, for accounts with overdue balances exceeding 30 days.

5. Installation & Project Timeline

Greyman will provide estimated timelines for system design, equipment procurement, and installation. While we make every effort to meet projected dates, timelines are estimates and may be affected by:

Greyman is not liable for delays beyond our reasonable control. Clients will be notified promptly of any significant timeline changes.

6. Warranties & Equipment Guarantees

6.1 Equipment Warranties

Security equipment installed by Greyman is covered by manufacturer warranties as specified in product documentation. Greyman will facilitate warranty claims on behalf of clients but does not extend manufacturer warranty terms.

6.2 Installation Workmanship Warranty

Greyman warrants that all installation work will be performed in a professional manner consistent with industry standards. We provide a 12-month workmanship warranty covering defects in installation labor. This warranty does not cover:

Warranty claims must be submitted in writing within 30 days of discovery. Greyman will assess the claim and, at our discretion, repair or replace defective work or equipment at no charge if covered under warranty.

7. Limitation of Liability

Security systems are designed to reduce risk and provide deterrence, detection, and response capabilities. However, no security system can guarantee complete protection against all threats, including but not limited to theft, intrusion, property damage, personal injury, or loss of life.

To the fullest extent permitted by law: Greyman Secure Solutions, its officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from security breaches, system failures, false alarms, or failure to detect intrusions—even if such failures result from negligence, equipment malfunction, or service interruption.

Clients acknowledge that security systems are tools to mitigate risk, not guarantees of absolute safety. Greyman's total liability under these terms shall not exceed the total amount paid by the client for the specific service or equipment giving rise to the claim.

8. System Monitoring & Response

If monitoring services are engaged, Greyman will provide remote monitoring as specified in the service agreement. Monitoring services include:

Upon receiving an alarm signal, Greyman will attempt to verify the event and notify designated contacts per the agreed response protocol. Greyman does not provide physical security response or dispatch services unless explicitly contracted. Clients are responsible for engaging law enforcement or private security response as needed.

8.2 False Alarms

Clients are responsible for any fines, fees, or penalties imposed by authorities due to false alarms. Greyman will assist in reducing false alarms through system calibration and user training but cannot eliminate them entirely.

9. Data Privacy & Surveillance Compliance

Clients using surveillance cameras or access control systems must comply with all applicable privacy laws and regulations. This includes:

Greyman provides equipment and systems but is not responsible for how clients use surveillance data. Clients agree to indemnify Greyman against any claims arising from privacy violations or unlawful surveillance practices.

10. Maintenance & Service Agreements

Regular maintenance is essential for optimal system performance. Clients may enter into maintenance agreements that include:

Maintenance agreements are billed in advance and may be renewed annually. Services not covered under maintenance agreements will be billed at standard hourly rates plus parts and travel costs.

11. Cancellation & Termination

11.1 Client Cancellation

Clients may cancel installation projects before work begins by providing written notice. Deposits are refundable only if no work has been performed and no equipment has been ordered. Once equipment is ordered or work has commenced, deposits are non-refundable.

11.2 Termination of Monitoring Services

Monitoring services may be terminated by either party with 30 days' written notice. Early termination fees may apply if canceling before the end of an annual contract term. No refunds will be provided for unused portions of prepaid monitoring periods.

All system designs, documentation, software, and proprietary processes created by Greyman remain the intellectual property of Greyman Secure Solutions. Clients receive a non-exclusive, non-transferable license to use installed systems for their intended purpose.

Clients may not reverse-engineer, modify, or redistribute any proprietary software, firmware, or system configurations without written permission.

13. Indemnification

Client agrees to indemnify, defend, and hold harmless Greyman Secure Solutions and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Greyman shall not be liable for delays or failure to perform obligations due to events beyond our reasonable control, including but not limited to natural disasters, pandemics, power outages, telecommunications failures, labor disputes, equipment shortages, government actions, or acts of war or terrorism.

15. Dispute Resolution

15.1 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Barbados. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Barbados.

15.2 Mediation & Arbitration

Before pursuing litigation, parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration under the rules of a mutually agreed arbitration service.

16. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms of Service, together with any signed service agreements, proposals, and quotes, constitute the entire agreement between Greyman Secure Solutions and the Client. No oral representations, warranties, or modifications shall be binding unless confirmed in writing.

Acknowledgment: By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.
